Terms of Service

These Terms of Service ("Terms") govern your access to and use of shengweimachine.com (the "Site") operated by Guangdong ShengWei Machinery Technology Co., Ltd. ("ShengWei", "we", "us", "our"). By using the Site or submitting a quote request you agree to these Terms. If you do not agree, please do not use the Site.

These Terms govern your use of the website and the information we provide on it. Any actual sale of machinery is governed by a separate sales contract that we will sign with you before manufacturing begins; that contract takes precedence over anything stated here.

1. Who can use the Site

The Site is a business-to-business platform aimed at companies that buy industrial packaging machinery. You may use it only if:

  • you are at least 18 years old, and
  • you have authority to act on behalf of a company that is in the business of packaging, food production, pharmaceuticals, chemicals, or related industries.

The Site is not intended for consumers and not intended for personal, household, or family use.

2. Site content is for information only

The machine specifications, photographs, videos, prices, lead times, and technical data published on the Site are provided for general guidance. They are not a binding offer to sell. Final specifications, prices, and delivery terms are confirmed only in a written Proforma Invoice or Sales Contract signed by ShengWei.

We continuously improve our machines, so specifications, materials, and components may change without notice. The version shipped to you may differ from photos on the Site as long as the agreed performance is met.

3. Quotation and inquiry process

  1. You submit a quote request via the Site form, email, or WhatsApp.
  2. We respond within 24 working hours with clarifying questions or a Proforma Invoice.
  3. A quotation is valid for 30 days from the date issued unless we state otherwise.
  4. Acceptance is in writing (signed Proforma Invoice plus a deposit). No contract exists until both steps are complete.

4. Pricing, currency, and payment

  • Prices on the Site are illustrative; binding prices appear only on the Proforma Invoice.
  • Default currency is USD. We may quote in EUR or RMB on request.
  • Default Incoterms are FOB Shantou or FOB Guangzhou (Incoterms 2020). CIF, CFR, DAP, and DDP available on request.
  • Standard payment terms: 30% deposit on order confirmation, 70% balance before shipment (against B/L copy). Letters of Credit accepted at sight.
  • You are responsible for all import duties, taxes, customs clearance, and local installation costs unless we have agreed otherwise in writing.

5. Lead time, manufacturing, and delivery

  • Standard lead time: 30 – 60 working days after deposit and confirmation of technical specifications.
  • Lead time excludes shipping transit time, customs clearance, and installation.
  • We are not liable for delays caused by force majeure events (typhoons, pandemics, port strikes, government export-control reviews, etc.) or by your delay in confirming specifications or paying the deposit.
  • Before shipment we conduct a factory acceptance test (FAT). You are welcome to attend in person or via video.

6. Warranty

  • Standard warranty: 12 months from B/L date, covering manufacturing defects of non-wearing parts.
  • Wearing parts (sealing jaws, heating elements, belts, sensors below industrial grade) are not covered under the standard warranty but are available for resupply at cost.
  • Warranty is void if the machine is modified by the buyer, operated outside the parameters in the manual, fed with non-conforming film, or used with non-OEM spare parts.
  • Free remote technical support over the entire warranty period. On-site service available at additional travel and labour cost.

7. Intellectual property

All content on the Site — text, machine photographs, videos, drawings, the ShengWei name and logo, the CE/TÜV badges as displayed, and the layout of the Site itself — is owned by ShengWei or licensed to us. You may:

  • view and print pages for your own evaluation of our machines;
  • share links to specific pages.

You may not, without our written permission:

  • copy machine photographs, technical drawings, or videos for use on another website or in a competing marketing context;
  • scrape the Site at scale or use automated tools to bypass our terms;
  • remove or alter any copyright, trademark, or other proprietary notice.

8. Acceptable use

When you use the Site, you agree not to:

  • submit false information in quote forms (e.g. competitor reconnaissance disguised as a buying request);
  • attempt to gain unauthorised access to the Site, servers, or related systems;
  • introduce viruses, worms, or other malicious code;
  • use the Site in a way that breaches export-control law or sanctions law of the buyer's country or of China.

9. Disclaimers

The Site is provided "as is" and "as available". To the maximum extent permitted by law, ShengWei makes no warranties of any kind regarding the Site itself — including warranties of merchantability, fitness for a particular purpose, accuracy of content, or uninterrupted availability. We may suspend the Site at any time for maintenance or other reasons.

This disclaimer applies to the website. Warranties on the machines we sell are governed by Section 6 and by the signed sales contract.

10. Limitation of liability

To the maximum extent permitted by law:

  • ShengWei is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site;
  • our total aggregate liability arising from your use of the Site (separate from any sales contract) is limited to USD 100.

Nothing in these Terms limits any liability that cannot be limited under applicable law (for example liability for personal injury caused by negligence).

11. Indemnity

You agree to indemnify and hold ShengWei harmless from any claim arising from your breach of these Terms, your misuse of the Site, or your violation of any law in connection with your use of the Site.

12. Third-party services and links

The Site contains links to and embedded content from third parties (YouTube videos, supplier logos, certification bodies). We are not responsible for the operation, content, or privacy practices of those third parties.

13. Privacy

Our processing of personal data is described in our Privacy Policy and our use of cookies in our Cookie Policy. By using the Site you acknowledge these policies.

14. Changes to these Terms

We may update these Terms when our processes or the law change. The "Last updated" date at the top of the page always shows the current version. Material changes will be highlighted on the Site for at least 30 days. Continued use of the Site after changes means you accept the revised Terms.

15. Governing law and dispute resolution

  • These Terms are governed by the laws of the People's Republic of China, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) unless we have agreed otherwise in writing in the sales contract.
  • Any dispute arising from your use of the Site shall first be resolved by good-faith negotiation between the parties.
  • If negotiation fails, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) South China Sub-Commission for arbitration in accordance with its rules in force at the time the request for arbitration is made. The arbitration shall be conducted in Shenzhen, in English, by a panel of one or three arbitrators. The award shall be final and binding.
  • Nothing in this clause prevents either party from seeking interim injunctive relief in any competent court.

16. General

  • Severability: if any provision of these Terms is held invalid, the remaining provisions remain in force.
  • No waiver: our failure to enforce any right is not a waiver of that right.
  • Entire agreement: these Terms (together with the Privacy Policy and Cookie Policy) are the entire agreement between you and ShengWei regarding the Site. Any sales contract we sign with you supersedes these Terms for the matters it covers.
  • Assignment: you may not assign your rights under these Terms without our written consent. We may assign our rights, for example in the context of a corporate restructuring.
